SmartTranslate Terms of Service

1. Service Overview

SmartTranslate is an AI-powered language translation platform that enables users to translate text, documents, and real-time conversations across more than 100 languages. The service uses advanced neural machine translation models to deliver fast, accurate, and context-aware translations.

Key features include:

• Text and document translation with support for PDF, DOCX, and TXT formats
• Real-time conversation mode for spoken language translation
• Custom glossary support for domain-specific terminology
• API access for developers to integrate translation into third-party applications
• Translation history and saved phrases
• Offline translation capability via mobile app (iOS and Android)

To use SmartTranslate, you must be at least 13 years old. Users between the ages of 13 and 18 may only use the service under the supervision of a parent or legal guardian. By creating an account, you confirm that you meet these eligibility requirements and agree to comply with all applicable laws.

2. User Obligations

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at xl@zcode.ltd if you suspect unauthorized access.

When using SmartTranslate, you agree to the following content guidelines:

• Do not submit content that is illegal, defamatory, hateful, sexually explicit, or promotes violence.
• Respect intellectual property rights; do not upload copyrighted material without proper authorization.
• Avoid submitting sensitive personal data (e.g., government IDs, financial information, health records) unless necessary and properly consented.
• Use translations responsibly and verify critical content with human expertise when accuracy is essential (e.g., legal, medical, or official documents).

Acceptable use includes personal, educational, professional, and non-commercial purposes. Automated bulk translation via API must adhere to rate limits and usage quotas outlined in our Developer Agreement.

3. Intellectual Property

All rights, title, and interest in and to SmartTranslate—including its software, algorithms, user interface, trademarks, and branding—are owned by ZCode Ltd. or its licensors. These Terms do not grant you ownership of any intellectual property.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use SmartTranslate for your personal or internal business purposes in accordance with these Terms.

Regarding user-generated content: by submitting text or documents for translation, you retain ownership of your original content. However, you grant SmartTranslate a worldwide, royalty-free, sublicensable license to process, store, and transmit your content solely to provide translation services. This license terminates when you delete your content from our systems, except where retention is required by law.

You may not reverse engineer, decompile, or attempt to extract source code from the service. Training data and model weights used in our AI systems are proprietary and confidential.

4. Prohibited Activities

You must not engage in any of the following activities while using SmartTranslate:

• Using the service to translate spam, phishing content, malware instructions, or fraudulent material
• Attempting to circumvent usage limits, security measures, or access controls
• Scraping, crawling, or extracting data from the SmartTranslate website or API at scale without permission
• Impersonating others or providing false identity information
• Distributing translated content in violation of export control, sanctions, or anti-terrorism laws
• Using translations to facilitate human rights abuses, surveillance, or unlawful monitoring
• Interfering with service operations through denial-of-service attacks or resource overconsumption

Violations may result in immediate suspension or termination of your account, reporting to authorities if required by law, and potential legal action. We reserve the right to investigate suspicious behavior and cooperate with law enforcement.

5. Liability Limitations

SmartTranslate is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the accuracy, completeness, or reliability of translations.

To the fullest extent permitted by law, ZCode Ltd. and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising from your use of or inability to use SmartTranslate.

Your sole remedy for dissatisfaction with the service is to discontinue use. In no event shall our total liability exceed the amount you paid for the service in the six months preceding the claim, or USD $50 if you used the free tier.

You agree to indemnify and hold harmless ZCode Ltd., its officers, employees, and partners from any claims, damages, liabilities, costs, or expenses (including attorneys’ fees) arising from your use of SmartTranslate, violation of these Terms, or infringement of third-party rights.

6. Legal Framework

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from or related to these Terms or your use of SmartTranslate shall be subject to the exclusive jurisdiction of the courts located in London, United Kingdom.

For users located in the European Union, you may have additional rights under consumer protection laws. Nothing in this section limits your mandatory statutory rights.

Dispute Resolution: We encourage you to contact us first at xl@zcode.ltd to resolve any concerns informally. If a dispute cannot be resolved within 30 days, either party may pursue resolution through binding arbitration administered by the London Court of International Arbitration (LCIA), under its rules then in effect. Arbitration shall take place in London, conducted in English.

7. Service Changes

ZCode Ltd. reserves the right to modify, suspend, or discontinue any aspect of SmartTranslate at any time, with or without notice. This includes changes to features, pricing, availability, or technical specifications.

We will make reasonable efforts to notify registered users of material changes via email or in-app alerts at least 30 days in advance. Minor updates (e.g., bug fixes, performance improvements) may be deployed without notice.

If we make a change that you believe materially reduces functionality or value, you may opt out by deactivating your account within 30 days of the change. For paid subscriptions, you may receive a prorated refund for unused service periods if you cancel due to such changes.

8. Termination

You may terminate your account at any time through the account settings page or by contacting xl@zcode.ltd. Upon termination, your right to use SmartTranslate ends immediately.

We may suspend or terminate your account if you violate these Terms, engage in prohibited activities, fail to pay applicable fees, or pose a risk to security or other users. We will provide notice where feasible, except in cases of severe violations requiring immediate action.

Following termination:

• Your access to the service will be revoked.
• Paid subscriptions will not be refunded except as required by law.
• Your content will be deleted within 90 days, unless legally required to be retained.
• Sections relating to intellectual property, liability, indemnification, and governing law will survive termination.
